What’s included and excluded from having a “governance” role in an investee?
At Omidyar Network, we bifurcate governance involvement as follows, but recognize that this may or may not be generally accepted definition by other GIIN members:
* Board seat - GOVERNANCE ROLE
* Investment committee - GOVERNANCE ROLE
* Board observer - CONSULTATIVE ROLE, not-governance
* Advisory board - CONSULTATIVE ROLE, not-governance

D’oh!! Sorry, I misinterpreted the indicator. Upon review, I see that it’s from the perspective of the grantee/investee and not whether the donor/investor has a governance role in the entity.
Can we add an indicator of diversity of the Board of Directors?
Might want to add an indicator related to how often the Board meets.
